Plain language summary: Habipal is a property health tracking tool. Your property data belongs to you and can always be exported. Habipal is not a building inspection service — scores are based on what you enter, not independent verification. We are not liable for decisions you make based on health scores. You can cancel at any time and your data remains accessible.

Section 01

Acceptance of terms

These Terms of Service ("Terms") govern your use of the Habipal platform operated by Habipal Inc. ("Habipal," "we," "us," or "our"). By creating an account or using the Habipal service, you agree to be bound by these Terms and our Privacy Policy.

If you are using Habipal on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

At account creation, you will be asked to acknowledge these Terms through a five-section tap-to-read flow. You will be notified of any material changes and asked to review only the sections that have changed since your last acknowledgement. Annual review is required to maintain full account access.

If you do not agree to these Terms, do not create an account or use the Habipal service.

Section 02

The Habipal service

Habipal is a property health tracking platform that allows property managers, building owners, homeowners, and residents to track the health of residential and commercial properties. The service includes:

Habipal reserves the right to modify, add, or remove features at any time. We will give reasonable notice of material changes that affect existing functionality.

Section 03

Account types and access

Habipal offers four account modes. The permissions associated with each mode are as follows.

Residents are invited by a property manager or homeowner. Resident access is always free. Residents have read-only access to building-level health information and can submit maintenance requests for their own unit.

Contractors are not account holders. They access the system via time-limited job codes issued by a property manager. Contractor access is scoped to a single system on a single property for a maximum of 48 hours.

Property manager steward model

When a property manager manages a property on behalf of a building owner, all property data belongs to the building owner. The property manager acts as a steward. If a property manager's subscription lapses, their edit access is suspended but the building owner retains full access to all data. The property manager does not own any data entered into properties they manage.

Account security

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@habipal.com if you become aware of any unauthorised use of your account.

Section 04

Data ownership

Your data belongs to you

All property data you enter into Habipal — system scores, equipment records, maintenance history, inspection imports, and audit logs — belongs to you as the building owner. Habipal is a custodian of that data, not an owner. We do not claim any ownership or licence rights over your property data beyond what is necessary to provide the service.

Accuracy of data

You are responsible for the accuracy and completeness of data you enter or approve in Habipal. Habipal does not independently verify equipment specifications, installation dates, warranty terms, or maintenance records. Health scores are calculated from the data you provide.

Contractor-entered data

Data entered by contractors via job codes is attributed to the contractor in the permanent audit log. Contractor entries do not affect health scores until approved by the property manager. Once approved, the entry forms part of the permanent property record. The property manager is responsible for reviewing and approving contractor entries before approval.

Inspection report imports

When you import an inspection report from a third-party platform, the contents of that report become part of your Habipal property record. You are responsible for ensuring you have the right to import and use the inspection report content. The original inspection remains the property of the inspector and homeowner as defined by their agreement.

Audit log integrity

The audit log and score history are insert-only records. No entry can be modified or deleted once written, including by Habipal staff. This protects the integrity of your property record. Data disputes are resolved by adding a correction entry to the audit log, not by modifying the original entry.

Subscriptions and billing

Resident bands (for properties with more than 5 residents) are charged as an additional annual fee per property. Resident access is always free. PM seats within an owner account are always free.

Free periods

New accounts receive a free period before billing begins. The length of the free period depends on how you signed up: one year for direct signups, six months for accounts created via the inspector or builder partner channels. No credit card is required during the free period.

Billing

Subscriptions are billed annually via Stripe. By providing payment information, you authorise Habipal to charge your payment method on a recurring annual basis until you cancel. Prices are in Canadian dollars unless otherwise stated.

Subscription lapse

If your subscription lapses, your account enters read-only mode for 90 days. You retain full access to view, export, and transfer your data during this period. After 90 days the account is archived. Reactivation restores full access immediately. Your property data is never deleted due to a subscription lapse.

Refunds

Annual subscriptions are non-refundable except where required by applicable law. If you believe you were charged in error, contact billing@habipal.com within 30 days of the charge.

Section 06

What Habipal is not

This section is important. Habipal is a data tracking and documentation tool. There are several things Habipal explicitly is not, and you should not rely on Habipal as a substitute for any of them.

Habipal is not a building inspection. Habipal does not inspect properties. Health scores are calculated from data you enter, not from physical observation of the property. A physical inspection by a licensed inspector may reveal conditions not captured in Habipal.

Habipal is not a guarantee of condition. A high health score does not mean a property is defect-free. Scores reflect the data entered, which may be incomplete, estimated, or inaccurate.

Habipal is not legal or financial advice. Nothing in the Habipal platform or any property health report constitutes legal advice, financial advice, or a professional opinion of any kind. Do not use Habipal as the sole basis for any real estate transaction, insurance decision, or legal proceeding.

Habipal is not an insurance valuation. Health scores and equipment records are not a substitute for an insurance valuation conducted by a qualified professional.

Habipal is not a warranty. Nothing in the Habipal platform constitutes a warranty by Habipal, any building owner, or any property manager regarding the condition, fitness, or lifespan of any system or equipment.

Section 07

Property health reports

Habipal property health reports are generated from data entered into the platform and are intended as a starting point for due diligence, not a conclusion. Every report opens with a disclosure document that sets out the scope and limitations of the report.

Report authenticity

Every Habipal report carries a unique report ID. The authenticity of a report and whether its underlying data has been modified since generation can be verified by contacting verify@habipal.com with the report ID.

Recommended use

Data dispute process

If a building owner disputes data entered by a property manager, either party may initiate a data dispute through the platform. During an active dispute, the lower of the two claimed values is shown in the health score. Both the original entry and the disputed claim are permanently stored in the audit log. Disputes can be escalated to disputes@habipal.com for independent review.

Section 08

Contractor access

Contractors access Habipal via a job code issued by a property manager. By issuing a job code, the property manager authorises the contractor to enter data for the specified system on the specified property.

Contractors who use job codes do not become employees, agents, or representatives of Habipal. Habipal is not responsible for the accuracy of data entered by contractors.

Section 09

Property sale transfers

Habipal provides a property sale transfer flow that allows a seller to transfer a complete property record to a buyer at the point of sale. The following terms apply to property transfers.

Habipal property transfers are not a substitute for formal conveyancing, title transfer, or any other legal process associated with a property sale. The transfer of a Habipal property record has no legal effect on property ownership.

Data portability guarantee

Your right to export your data is unconditional and permanent. The Habipal Data Portability Guarantee, published at habipal.com/portability, forms part of these Terms of Service.

Acceptable use

You agree not to use Habipal in any way that:

Habipal reserves the right to suspend or terminate accounts that violate these acceptable use terms, with or without notice depending on the severity of the violation.

Section 12

Intellectual property

The Habipal platform, including its software, design, scoring methodology, brand assets, and documentation, is owned by Habipal Inc. and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Habipal platform without express written permission.

Your property data — the records, scores, equipment data, and history you create — belongs to you. You grant Habipal a limited licence to store, process, and display that data solely for the purpose of providing the Habipal service to you. This licence ends when you export and delete your data or when these Terms are terminated.

Habipal may use anonymised, aggregated, non-identifiable data derived from platform usage for product improvement and statistical analysis. No individual property data or personal data is sold or disclosed to third parties.

Section 13

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HABIPAL INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND DATA PROVIDERS ACCEPT NO LIABILITY FOR ANY LOSS, DAMAGE, CLAIM, OR EXPENSE ARISING FROM RELIANCE ON HEALTH SCORES, EQUIPMENT DATA, OR ANY OTHER INFORMATION GENERATED BY OR CONTAINED IN THE HABIPAL PLATFORM OR ANY HABIPAL PROPERTY HEALTH REPORT.

THIS INCLUDES BUT IS NOT LIMITED TO LOSSES ARISING IN CONNECTION WITH ANY REAL ESTATE TRANSACTION, INSURANCE CLAIM, WARRANTY DISPUTE, LENDING DECISION, OR LEGAL PROCEEDING.

IN NO EVENT SHALL HABIPAL'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HABIPAL IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS ($100).

NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Nothing in this section limits Habipal's liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable Canadian law.

The person or organisation who generates a Habipal property health report (the "Report Owner") is solely responsible for the accuracy and completeness of data entered into Habipal. Habipal does not verify user-entered data.

Section 14

Termination

Termination by you

You may cancel your Habipal subscription at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period. Your account enters read-only mode and remains accessible for 90 days after cancellation, during which you can export all your data. After 90 days the account is archived.

Termination by Habipal

Habipal may suspend or terminate your account for violation of these Terms, non-payment of fees, or if required to do so by law. In cases of non-payment, we will provide at least 14 days notice before suspending access. In cases of Terms violation, we may act immediately if the violation poses a risk to other users or the platform.

Effect of termination

On termination, your right to use the service ends. Your property data is not immediately deleted — it remains in read-only archive for 90 days to allow data export. After 90 days, personal data is deleted in accordance with our Privacy Policy. Property data is archived permanently per our data ownership model. Sections 4, 6, 7, 12, 13, and 16 of these Terms survive termination.

Section 15

Changes to these terms

Habipal may update these Terms at any time. We will notify active account holders by email at least 30 days before material changes take effect. The effective date at the top of this page will be updated on each revision.

At your next login after a terms update, you will be shown only the sections that changed since your last acknowledgement and asked to review them. Continued use of Habipal after the effective date of updated Terms constitutes acceptance of the changes.

If you do not accept updated Terms, you may cancel your account and export your data before the effective date.

Section 16

Governing law and disputes

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of Habipal that cannot be resolved informally will be submitted to the courts of the Province of Alberta, and you consent to the exclusive jurisdiction of those courts.

Before initiating any formal dispute, we ask that you contact us at legal@habipal.com to attempt informal resolution. We will respond within 10 business days.
